Nice to Have

Lead and support contract development

Oversee company’s contract management system

Draft entire contracts and contract language

Identify and define legal issues and business risks

Serve as legal contracts representative

solution-oriented contractual and business advice

Ensure contract terms are consistent with company policies

Engage with internal clients and vendors

Train and guide business teams on contract use

Assist in developing and implementing new Legal Department contracting policies

maintaining and enhancing contract management system

Identify and implement methods to improve department efficiency

Sr. Corporate Counsel | Remote | Annual Bonus Job Summary: The Sr. Corporate Counsel will focus primarily on leading and providing support for contract development, review, negotiation, management, and related initiatives across the company, including oversight of the company’s contract management system. Reporting to: Assistant General Counsel Location: Remote (EST or CST hours required) Basic Qualifications: Minimum of 3 years’ experience at an AM Law 100 firm. 4+ years of experience as an in-house counsel. Extensive experience with reviewing & drafting CDA, MSA & SOW agreements. J. D. from an accredited law school & 8+ years’ directly related experience. Must be admitted to practice, or have Bar membership, in the state of residence. Experience in Pharma or Medical device is a plus Responsibilities/Essential Duties: Independently draft, review, negotiate, and manage both in-house contracts and third-party contracts (domestic and international), including but not limited to, product distribution agreements, research and development agreements, manufacturing and supply agreements, master services agreements (and related statements of work), SaaS agreements, clinical trial agreements, material transfer agreements, HCP/HCO agreements, consulting agreements and nondisclosure agreements. Independently draft, de novo, entire contracts and contract language, to successfully address business and legal issues and mitigate risk. Identify and define legal issues and business risks, and succinctly communicate issues, risks, and concerns to appropriate internal decision-makers for discussion and resolution. Serve as legal contracts representative for: International, Manufacturing, Regulatory, Quality, Process & Formulation Development, IT, HR, Finance and Project Management.
